The merger only works if the company can own more of the chain from wafer to cooling loop.
Semiconductor fabs need process chemistry, plating, and electronic materials. Advanced packaging needs reliability, adhesion, and defect control. Data centers need thermal management and cooling loops that do not fail when utilization spikes. Those are different businesses, but they are increasingly part of the same AI buildout.
That is the second-order effect investors should care about. If Solstice can integrate Element's electronics exposure with cooling and materials specialties, the company should be more exposed to AI capex than a normal chemicals platform would be.

My conclusion
The real asset is the toll booth on complexity.
If the deal closes and the integration holds, Solstice will own more of the parts of AI infrastructure that are hardest to substitute and easiest to underappreciate. That is where margin expansion can hide for a long time before the market rerates the equity.
If the company misses on leverage or integration, the story turns into another cyclical M&A cycle. But if AI keeps pulling more value into packaging and thermal management, this deal looks like a rational move up the stack.
