Its investment approach is best described as a credit-focused, transaction-by-transaction lender/generalist investor within the lower middle market and middle market.
From an investment standpoint, Logan Ridge targets a range of deal sizes and operating fundamentals. For each transaction, the firm typically deploys capital in the approximate range of $5 million to $50 million, aligning its efforts with companies that generally have annual EBITDA in the $5 million to $50 million range and with enterprise values below $250 million. The portfolio construction is designed to balance credit exposure across industries, with emphasis across sectors such as aerospace/defense, business services, education, food and beverage, industrial and environmental services, logistics and distribution, media and telecommunications, manufacturing, consumer goods, and healthcare.
Product-wise, the company’s core “tools” are debt instruments. It commonly provides first-lien loans and, to a lesser extent, second-lien loans, as well as other structured forms including unitranche and senior subordinated debt. In addition to lending, Logan Ridge may invest in minority equity co-investments, typically in partnership with a company’s management team or other financial sponsors.
Economically, as a BDC, its value creation is closely tied to underwriting discipline, portfolio performance, and the ability to originate/maintain investments that meet its target risk-return profile. The disclosed financial snapshot indicates a relatively modest market scale (market capitalization on the order of tens of millions of dollars) and metrics consistent with a credit/income-oriented vehicle. For example, the provided snapshot includes liquidity measures such as a current ratio above 1 and free cash flow yield data, alongside leverage-related ratios.
Key people include Edward Joseph Goldthorpe, listed as CEO. The company’s strategic direction has also been shaped by corporate events referenced in the provided materials, including a merger/acquisition transaction involving Portman Ridge Finance Corporation (as disclosed through investor/SEC-related items). From a shareholder perspective, such actions can affect capital structure, distribution policy expectations, and the overall investment platform.
Overall, Logan Ridge Finance Corporation is positioned as a specialist allocator of structured credit—seeking attractive risk-adjusted returns through diversified middle-market lending and selective co-investment—while leveraging BDC structures to deploy capital into performing businesses.

With that, I would now like to turn the call over to Ted Goldthorpe, Chief Executive Officer of Logan Ridge Finance Corporation. Please go ahead, Ted.
Ted Goldthorpe: Good morning. Welcome to our first quarter 2025 earnings call. As mentioned, I am joined today by our Chief Financial Officer, Brandon Satoren; and our Chief Investment Officer, Patrick Schafer. Following my opening remarks, Patrick will provide additional details on our investment activity to date, and Brandon will walk through the financials. Following record results in 2024, Logan Ridge continued to make significant strides in strengthening its portfolio despite the large write-down on the company's legacy term loan to Sequoia Healthcare. Notably, during the quarter, the company grew its portfolio with net deployment and as previously announced, Logan Ridge continued rotating out of legacy equity portfolio with the successful exit of its second largest non-yielding equity investment in GA Communications. This exit stands as another important achievement in our long-term strategy to rotating out of the legacy equity portfolio, which has now been reduced to just 10.8% of our portfolio at fair value, down from 13.8% as of the prior quarter and 18.2% in the first quarter of 2024. Looking forward, with the continued monetization of the legacy equity portfolio, we believe the company is well-positioned to continue to grow earnings and increase long-term shareholder value as we navigate this dynamic market shaped by renewed uncertainty, increased market volatility and shifting geopolitical dynamics. Finally, we remain very excited about the opportunities that the combination with Portman Ridge presents. This transaction offers the potential for increased scale, improved liquidity and enhanced operational efficiencies, all of which will strengthen …
